Terms of Service

Effective Date: May 16, 2026

These Terms of Service ("Terms") form a binding agreement between you and Pangeo LLC, a United States limited liability company doing business as Pangeo AI and as Yarid Asher ("Pangeo AI," "we," "us," or "our"), and govern your use of Theo (the "App"), our Christian AI assistant available on iOS, Android, and the web. By creating an account, signing in, or otherwise using the App, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the App.

1. Eligibility

You must be at least 16 years old to use Theo. By creating an account, you represent and warrant that you are 16 or older. The App is not directed to children under 16, and we do not knowingly permit accounts for them. If you are between 16 and the age of legal majority in the jurisdiction where you live, you confirm that you have the permission of a parent or legal guardian to enter into these Terms.

2. Your Account

To use Theo you must create an account with a valid email address and a password. You are responsible for keeping your credentials confidential and for all activity that occurs under your account. Notify us at hello@pangeo.ai promptly if you suspect unauthorized access. You may delete your account at any time from within the App's Settings; deletion permanently removes the data described in our Privacy Policy.

3. Acceptable Use

You agree not to:

• use Theo for any unlawful purpose, in violation of applicable laws, or in any way that infringes the rights of others;
• attempt to access another user's account, our infrastructure, or any data you are not authorized to access;
• reverse-engineer, decompile, disassemble, or attempt to derive the source code of the App, except to the extent that such activity is permitted by applicable law and cannot lawfully be restricted;
• use Theo to create, transmit, or store content that is harmful, abusive, threatening, harassing, defamatory, sexually explicit, or that promotes violence or hatred against any person or group;
• use Theo to generate, train, fine-tune, or evaluate any artificial-intelligence model, dataset, or service that competes with the App, or to systematically harvest Theo's outputs for any commercial AI dataset;
• circumvent security features, rate limits, or any technical restrictions of the App;
• use any automated system (bots, crawlers, scrapers) to access Theo without our prior written consent;
• attempt to manipulate Theo's behavior through prompt injection, jailbreak attempts, or other adversarial inputs in a manner that defeats the App's safety guardrails or misleads other users.

4. AI-Generated Content — Important Disclaimers

Theo's responses are generated by artificial-intelligence systems and are provided for informational and devotional purposes only.

• Not a substitute for professional advice. Theo is not a licensed counselor, therapist, pastor, doctor, attorney, or financial advisor. Do not rely on Theo for professional mental-health, medical, legal, or financial advice.
• Not infallible. AI-generated content can contain errors, fabricated citations, and misinterpretations of Scripture. Always verify important information with authoritative sources, your faith community, and qualified professionals.
• Not a final authority on doctrine. Theo aims to be a helpful companion in exploring Christian faith and Scripture, but its responses are not authoritative theological pronouncements. Consult your pastor, priest, elders, or trusted spiritual advisors for matters of doctrine, conscience, and church discipline.
• Not crisis support. If you or someone you know is in crisis, experiencing thoughts of self-harm, or facing a medical or safety emergency, do not rely on Theo. Contact your local emergency services (911 in the United States) or, in the United States, the 988 Suicide and Crisis Lifeline by calling or texting 988. International crisis lines are available at findahelpline.com.

5. Your Content

You retain all rights you hold in the conversations and notes you create in the App ("Your Content"). You grant Pangeo LLC a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Your Content solely as needed to operate the App and to provide its features to you — including sending your messages to AI sub-processors to generate responses, computing search embeddings for your notes, and maintaining operational backups. This license terminates when you delete the relevant content or your account, except for retention periods described in our Privacy Policy and except for any backup copies maintained by sub-processors in accordance with their own retention practices. You are solely responsible for the lawfulness of the content you submit and for any consequences of your use of the App.

6. AI Providers and Other Sub-Processors

Theo relies on a third-party AI gateway and infrastructure vendors to function. All AI model calls are routed through that gateway under zero-retention terms; the gateway may dispatch any given request to an underlying model operated outside the United States, including in jurisdictions such as the People's Republic of China. The current list of sub-processors, the data each one receives, and important disclosures about international processing are described in detail in our Privacy Policy. By using Theo, you acknowledge and agree to those data flows. Each sub-processor (and each underlying model provider) is responsible for its own services under its own terms; we do not control, and we are not liable for, the independent acts or omissions of any such party except to the extent required by applicable law.

7. Intellectual Property

The App — including its software, design, branding, marks, copy, and all related materials — is owned by Pangeo LLC or its licensors and is protected by copyright, trademark, and other laws. Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the App on devices you own or control, for your personal, non-commercial use. No other rights are granted. "Theo," "Pangeo AI," and the Pangeo AI logo are trademarks of Pangeo LLC. Scripture quotations, public-domain texts, and other reference materials surfaced by Theo remain the property of their respective rights-holders and are used in accordance with applicable rights or licenses.

8. Service Availability and Changes

We work to keep Theo available and reliable but we do not guarantee uninterrupted or error-free service. We may at any time, with or without notice, modify, suspend, discontinue, or impose limits on any part of the App, including features, message quotas, supported platforms, AI providers, and pricing. We will not be liable to you for any such modification, suspension, or discontinuation.

9. Subscriptions and Billing

Theo offers a free tier with message limits and an optional paid auto-renewing subscription, Theo AI Pro, which raises those limits. The features, message allowances, and price of each tier are presented in the App at the point of purchase and may change as described below and in Section 8.

• Billing through the App Store. Theo AI Pro is sold as an in-app subscription and is billed to the Apple ID / App Store account used on your device, at the price and billing interval shown to you in the App before you confirm the purchase. Payment is processed by Apple, not by Pangeo LLC; we do not receive or store your payment-card details. Your subscription status is managed for us by our subscription sub-processor as described in our Privacy Policy.
• Auto-renewal. Your subscription automatically renews for successive periods of the same length unless you cancel at least 24 hours before the end of the current period. Your App Store account is charged for renewal within 24 hours before the end of the current period, at the then-current price.
• Managing and cancelling. You can view, manage, or cancel your subscription, and turn off auto-renewal, at any time in your device's App Store account settings (on iOS: Settings → your name → Subscriptions). Cancelling stops future renewals; it does not retroactively refund the current period, and you keep Pro access until the end of the period you have already paid for. The App also provides a "Restore Purchases" action to re-activate an existing subscription on a new device or after reinstalling.
• Refunds. Except where required by applicable law, all charges are non-refundable and we do not provide refunds or credits for partial periods or unused messages. Because billing is handled by Apple, refund requests are subject to Apple's policies and must be directed to Apple.
• Price and plan changes. We may change subscription prices and the features or message limits of the free or paid tier. If a change would increase the price of a subscription you hold or materially reduce what it includes, we will give advance notice and, where required by Apple or applicable law, obtain your consent before it takes effect; otherwise the change applies from your next renewal. If you do not agree to a change, your remedy is to cancel before it takes effect.
• Free tier. The free tier is provided "as is" and we are under no obligation to maintain any particular free message allowance; we may modify or discontinue it as described in Section 8.
• Platforms. Subscriptions are currently sold only through the iOS App Store. There is no separate purchase path on the web, and using the web does not grant or extend a subscription.

10. Termination

You may terminate this agreement at any time by deleting your account from within the App. We may suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms or applicable law, if your account has been inactive for an extended period, or if continuing to provide the App to you would be unlawful or technically infeasible. Sections that by their nature should survive termination — including Sections 4 (AI-Generated Content), 5 (Your Content), 7 (Intellectual Property), 9 (Subscriptions and Billing), 11 (Disclaimers and Limitation of Liability), 12 (Indemnification), 13 (Governing Law and Disputes), and this Section — will survive.

11. Disclaimers and Limitation of Liability

The App is provided "as is" and "as available," without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or quiet enjoyment. Without limiting the foregoing, we make no warranty that Theo's responses will be accurate, complete, theologically correct, free of errors, or suitable for any particular use.

To the maximum extent permitted by law:

• Pangeo LLC and its members, officers, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or use, arising out of or in connection with these Terms or the App, even if we have been advised of the possibility of such damages.
• Our total cumulative liability arising out of or in connection with these Terms or the App will not exceed the greater of (a) one hundred U.S. dollars (US$100) or (b) the total amount you paid us, if any, in the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages or warranties, in which case the foregoing exclusions and limitations apply only to the extent permitted by applicable law, and your statutory rights are not affected.

12. Indemnification

You agree to defend, indemnify, and hold harmless Pangeo LLC and its members, officers, employees, agents, and licensors from and against any claims, damages, losses, liabilities, and reasonable expenses (including attorneys' fees) arising out of or related to (a) Your Content, (b) your use of the App in violation of these Terms or applicable law, or (c) your infringement of any rights of a third party.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-laws rules. To the extent permitted by law, any dispute arising from these Terms or the App will be brought exclusively in the state or federal courts located in New York County, New York, and you and we consent to personal jurisdiction in those courts.

If you live in a jurisdiction whose mandatory consumer-protection laws give you additional rights, those rights take precedence over this Section to the extent the law requires. Nothing in these Terms limits any non-waivable right you may have under applicable consumer-protection law to bring proceedings in your country of residence or in your local language.

14. Apple App Store — Additional Terms

If you obtained the App from the Apple App Store, the following additional terms apply, and in case of conflict with the rest of these Terms, the following terms control as between you and Apple:

• These Terms are between you and Pangeo LLC only, not Apple Inc. ("Apple"). Apple is not responsible for the App or its contents.
• The license granted to you in Section 7 is limited to use of the App on Apple-branded products that you own or control and as permitted by the Apple Media Services Terms.
• Apple has no obligation to provide any maintenance or support for the App.
• If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
• Pangeo LLC, not Apple, is responsible for addressing any claims relating to the App, including product-liability claims, claims that the App fails to conform to any legal or regulatory requirement, and claims under consumer-protection or privacy law.
• Pangeo LLC, not Apple, is responsible for the investigation, defense, settlement, and discharge of any third-party intellectual-property claim that the App or your use of it infringes that third party's intellectual-property rights.
• You represent that you are not located in a country subject to a U.S. Government embargo or designated as "terrorist supporting," and that you are not on any U.S. Government list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce these Terms against you as a third-party beneficiary.

15. Modifications to These Terms

We may update these Terms from time to time. When we make material changes, we will post the updated Terms at this URL with a new Effective Date and, where reasonable, notify you in the App or by email before the changes take effect. Your continued use of Theo after the Effective Date constitutes acceptance of the updated Terms.

16. Severability and Miscellaneous

If any provision of these Terms is held unenforceable, that provision will be limited or eliminated to the minimum extent necessary and the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of that provision. These Terms, together with our Privacy Policy, are the entire agreement between you and Pangeo LLC concerning the App and supersede any prior agreement on the same subject. You may not assign or transfer these Terms without our prior written consent; we may assign these Terms to a successor in connection with a corporate transaction.
